Terms of Service

The short version: PricePilot is a tool that changes real subscriptions and prices in your own Stripe account. You stay in control: preview every change, exclude who you want, and confirm before anything runs. Because the changes affect live billing, you are responsible for reviewing them, and the service is provided "as is" with the liability limits below. None of this replaces your own legal or accounting advice.

1. Acceptance of these terms

These Terms of Service (the "Terms") are a binding agreement between you (and, if you act on behalf of an organization, that organization) and PricePilot ("PricePilot," "we," "us"). By installing the PricePilot Stripe app, using PricePilot Migrate Pro, or otherwise using our websites and tools (collectively, the "Service"), you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

PricePilot helps you change subscription prices in your own Stripe account. It has two parts:

  • The PricePilot Stripe app — a Stripe Dashboard extension for single, per-customer, bulk, and scheduled price changes, running inside your Stripe Dashboard.
  • PricePilot Migrate Pro — a web tool you connect to with your own restricted Stripe API key to bulk-migrate existing subscriptions onto a new price in place, including subscriptions created by membership platforms such as Paid Memberships Pro (PMPro) and MemberPress.

The Service acts only within the Stripe account whose credentials you provide. It does not run your billing — Stripe does. We are not your payment processor, and we do not move, hold, or settle your funds.

3. Your responsibilities

You are solely responsible for how you use the Service and for every change you run with it. In particular, you agree that:

  • You own or are authorized to administer the Stripe account you connect, and your use complies with the Stripe Services Agreement and applicable law.
  • You will preview and verify the affected subscriptions, prices, timing, proration, and forecast before confirming any run. The preview is an estimate; final results are determined by Stripe at execution time.
  • You are responsible for any communications, notices, consents, or disclosures your subscribers or local laws may require before a price change takes effect.
  • You are responsible for the tax treatment of your prices and for reconciling any third-party platform (for example, running PMPro's "Sync with Gateway" or letting MemberPress reconcile via its webhook).
  • You will keep your Stripe API keys secure. For Migrate Pro, you create a restricted key with only the access the tool needs; the key stays in your browser for the session and is never stored or logged by us (see our Privacy Policy). You are responsible for revoking it when you are done.

4. Billing, subscriptions, and refunds

  • Test mode is free. You can connect, preview, and run a complete migration on test data at no charge. A paid subscription is required only to run on live subscriptions.
  • Fees. The PricePilot Stripe app and Migrate Pro are sold as recurring subscriptions at the prices shown at the time of purchase (currently the Stripe app from $15/month and Migrate Pro at $399/year, subject to change). Fees are billed in advance and recur until cancelled.
  • Cancellation. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current paid term. Access to paid features ends when your subscription lapses.
  • Refunds. Because the full Service can be evaluated for free in test mode before you pay, fees are generally non-refundable except where required by law. If something goes wrong on our side, contact us and we'll work with you in good faith.

5. Reverse and undo are best-effort

The Service offers a reverse/undo step that restores the prior price on immediate changes or releases not-yet-executed scheduled changes. This is a convenience, not a guarantee: it cannot recover a charge or credit Stripe has already settled, cannot restore cleared metered usage, and cannot undo downstream effects in other systems. Treat every live run as if it cannot be perfectly reversed, and preview accordingly.

6. No warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that any preview, forecast, or proration estimate will match the final amount charged by Stripe, or that third-party platforms (including Stripe, PMPro, and MemberPress) will reconcile in any particular way or timeframe. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

7. Limitation of liability

To the maximum extent permitted by law:

  • PricePilot, its owner, and its suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of revenue, profits, goodwill, data, or business, arising out of or related to the Service — including any pricing change, proration, over- or under-charge, missed change, scheduling outcome, or third-party reconciliation — even if we have been advised of the possibility of such damages.
  • Our total aggregate liability for all claims arising out of or related to the Service will not exceed the greater of (a) the total fees you actually paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) one hundred US dollars (US $100).
  • These limits apply regardless of the legal theory (contract, tort, or otherwise) and are a fundamental basis of the bargain between us; the Service would not be offered at its current price without them.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

8. Indemnification

You agree to indemnify and hold harmless PricePilot and its owner from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your price changes and their effect on your subscribers, your violation of these Terms, or your violation of any law or third-party right.

9. Third parties and trademarks

Stripe, Paid Memberships Pro, and MemberPress are trademarks of their respective owners. PricePilot is an independent tool and is not endorsed by, sponsored by, or affiliated with any of them. Your use of those platforms is governed by their own terms.

10. Acceptable use

You may not use the Service to break the law, infringe others' rights, attempt to access accounts or data you are not authorized to administer, reverse engineer or disrupt the Service, or use it on behalf of a third party's Stripe account without their authorization.

11. Changes to the Service and these Terms

We may change, suspend, or discontinue parts of the Service, and we may update these Terms. If we make a material change to these Terms, we'll update the date above and, where appropriate, note it on the site. Your continued use of the Service after a change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules, and you and PricePilot agree to the exclusive jurisdiction of the state and federal courts located in New Jersey for any dispute that is not otherwise resolved.
